【一般条款 / General Terms】 1. 有效期 / Validity：本报价自签发日起 15 日内有效；逾期须重新确认。 Price valid for 15 days from issue date; subject to reconfirmation thereafter. 2. 贸易术语 / Incoterms：一律按 Incoterms® 2020 解释。 All trade terms interpreted under Incoterms® 2020. 3. 溢短装 / Quantity tolerance：允许 ±3% 溢短装，按实装数量结算。 ±3% more or less allowed; settle by actual shipped quantity. 4. 包装 / Packing：出口标准纸箱或合同约定包装；唛头按买方要求。 Export cartons or as agreed; shipping marks per buyer instruction. 5. 质量与检验 / Quality & inspection：出厂检验为准；到货后 7 日内提出书面异议。 Factory inspection prevails; written claim within 7 days of arrival. 6. 样品 / Samples：确认样一经签收即视为外观与工艺标准。 Approved sample shall be the standard for appearance and workmanship. 7. 付款 / Payment：定金到账后排产；尾款按约定节点支付。 Production starts after deposit; balance per agreed schedule. 8. 交货 / Delivery：交期自定金到账及技术资料齐备之日起算。 Lead time counted from deposit receipt and complete tech docs. 9. 不可抗力 / Force majeure：因不可抗力延迟不负违约责任，但应及时通知对方。 Delays from force majeure are excused with prompt notice. 10. 争议解决 / Disputes：协商不成时，提交卖方所在地有管辖权的法院解决。 Failing negotiation, submit to competent court at Seller's place.
